Terms of Service

1.Acceptance of Terms
By accessing or using MissionControlHQ ("the Service"), operated by MissionControlHQ Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and "you" or "your" shall refer to that organization.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms.
2.Definitions
- "Agent" means an autonomous AI entity created, configured, and deployed through the Service using agent definition files (markdown or YAML configuration).
- "Crew" means a coordinated group of Agents orchestrated via a pipeline configuration (e.g.,
crew.yaml) to perform multi-step workflows. - "Execution" means a single invocation of an Agent or Crew, from receiving input to delivering output, regardless of the number of underlying API or LLM calls.
- "Customer Data" means any data, content, configurations, agent definition files, prompts, or outputs that you submit to or generate through the Service.
- "Platform" means the MissionControlHQ software, infrastructure, APIs, SDKs, CLI tools, dashboards, and documentation.
3.Account Registration
To use the Service, you must create an account by providing accurate and complete registration information. You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys.
- All activities and Executions that occur under your account, whether authorized or not.
- Promptly notifying us at
security@missioncontrolhq.aiof any unauthorized access or security breach. - Ensuring that all team members added to your account comply with these Terms.
We reserve the right to suspend or terminate accounts that are inactive for more than 12 consecutive months, with 30 days' prior notice via the email on file.
4.Permitted Use
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This includes:
- Creating, configuring, and deploying AI Agents using markdown definition files.
- Orchestrating multi-Agent workflows through Crew pipeline configurations.
- Integrating the Service with third-party applications via our APIs and SDKs.
- Monitoring Agent performance and reviewing execution logs through the dashboard.
- Inviting team members within the seat limits of your subscription plan.
5.Restrictions
You agree not to, and will not permit any third party to:
- Use Agents for any unlawful purpose, including generating illegal, harmful, deceptive, or discriminatory content.
- Deploy Agents that impersonate real individuals without their explicit consent.
- Reverse engineer, decompile, or disassemble any part of the Platform.
- Circumvent execution limits, rate limits, or security controls of your plan.
- Resell, sublicense, or redistribute access to the Service without written authorization.
- Use the Service to build a competing product or to benchmark against competitors without prior written consent.
- Transmit viruses, malware, or any code designed to disrupt the Platform infrastructure.
- Attempt to access other customers' data, Agents, or account resources.
Violation of these restrictions may result in immediate suspension or termination of your account without refund.
6.Agent Deployment & Responsibility
You are solely responsible for the configuration, behavior, and outputs of all Agents deployed through your account. This includes, without limitation:
- The accuracy, legality, and appropriateness of Agent-generated content and actions.
- Configuring appropriate guardrails, safety filters, and output constraints in your agent definition files.
- Monitoring Agent activity and promptly disabling Agents that produce harmful or unintended results.
- Ensuring Agents that interact with end users clearly identify themselves as AI.
- Compliance with all applicable laws, regulations, and industry standards related to AI-generated content in your jurisdiction.
We provide guardrail tools and monitoring capabilities but do not guarantee the prevention of all undesirable Agent behaviors. You acknowledge that AI systems may produce unexpected outputs and agree to implement appropriate human oversight.
7.Data Ownership & Processing
Your Data: You retain all right, title, and interest in your Customer Data. We do not claim ownership over your agent configurations, prompts, outputs, or any content generated through the Service.
Limited License: You grant us a limited license to process your Customer Data solely for the purpose of providing, maintaining, and improving the Service. We will not use your Customer Data to train machine learning models or share it with third parties except as required to deliver the Service (e.g., forwarding prompts to your selected LLM provider).
Data Retention: Execution logs are retained for 90 days by default (configurable per plan). Upon account termination, your data is retained for 30 days to allow export, after which it is permanently deleted. Enterprise customers may negotiate custom retention policies.
Sub-processors: We use third-party infrastructure providers (e.g., cloud hosting, LLM APIs) to deliver the Service. A current list of sub-processors is maintained at/legal/sub-processors and updated with 30 days' notice.
8.Billing & Payments
Subscription Plans: The Service is offered under tiered subscription plans (Starter, Growth, Enterprise) billed monthly or annually as selected at checkout. All fees are quoted in USD and are exclusive of applicable taxes.
Payment Terms: Payment is due at the beginning of each billing cycle. We accept major credit cards and, for Enterprise plans, invoiced payments with Net-30 terms. Failed payments will result in a 7-day grace period, after which the account may be downgraded or suspended.
Overages: If your usage exceeds the Execution limit included in your plan, additional Executions will be billed at the per-Execution overage rate published on our pricing page. You will receive a notification at 80% and 100% of your quota.
Refunds: Annual subscriptions may be refunded within 14 days of purchase if fewer than 100 Executions have been consumed. Monthly subscriptions are non-refundable. Downgrades take effect at the end of the current billing period.
Price Changes: We may modify pricing with at least 30 days' written notice. Price changes will apply at the start of your next billing cycle.
9.Service Level Agreement
For paid plans, we commit to the following uptime guarantees measured on a monthly basis:
Scheduled maintenance windows (announced 48 hours in advance) and force majeure events are excluded from uptime calculations. Service credits of 10% of monthly fees are issued for each 0.1% of downtime below the committed level, up to a maximum of 30% of that month's fees.
10.Intellectual Property
Platform IP: The Platform, including its source code, architecture, APIs, documentation, branding, and proprietary algorithms, is and remains the exclusive property of MissionControlHQ Inc. These Terms do not transfer any ownership rights to you.
Customer IP: You retain full ownership of your agent definition files, custom tool implementations, prompt templates, Crew configurations, and all outputs generated by your Agents. We claim no intellectual property rights over your Customer Data or Agent outputs.
Feedback: If you provide suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, royalty-free license to incorporate such feedback into the Platform without obligation to you.
11.Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information using at least the same degree of care used to protect its own confidential information, but no less than reasonable care. Confidential Information includes, without limitation:
- API keys, access tokens, and account credentials.
- Agent configurations, prompts, and proprietary workflows.
- Non-public product roadmaps, pricing structures, and business strategies.
- Any information marked or reasonably understood to be confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully received from a third party without restriction.
12.Warranties & Disclaimers
We warrant that the Service will perform materially in accordance with our published documentation. To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE." We disclaim all other warranties, whether express, implied, or statutory, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Any warranty that Agent outputs will be accurate, complete, or error-free.
- Any warranty of uninterrupted or secure access to the Service.
AI-generated content may contain inaccuracies. You agree to implement appropriate review processes before relying on Agent outputs for critical business decisions.
13.Limitation of Liability
To the fullest extent permitted by law, MissionControlHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising from or related to your use of the Service — regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD).
14.Indemnification
You agree to indemnify, defend, and hold harmless MissionControlHQ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use of the Service in violation of these Terms.
- Agent outputs or actions that cause harm to third parties.
- Your violation of any applicable law or third-party rights.
- Customer Data that infringes intellectual property or privacy rights.
15.Termination
By You: You may terminate your account at any time through the account settings dashboard or by contacting support. Termination takes effect at the end of your current billing period. No partial refunds are issued for unused time on monthly plans.
By Us: We may suspend or terminate your account immediately and without notice if you breach these Terms, pose a security risk, or engage in activities that are harmful to other users or the Platform. In non-urgent cases, we will provide 15 days' written notice and an opportunity to cure the breach.
Effect of Termination: Upon termination, all licenses granted to you under these Terms will immediately cease. Your Customer Data will be available for export for 30 days post-termination, after which it will be permanently and irrecoverably deleted from our systems, including backups, within 90 days.
16.Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service and close your account before the effective date.
17.Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms shall first be resolved through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in Wilmington, Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
